Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and Balemual Marketing ("Balemual", "we", "us", "our"), the operator of the Balemual creator-performance platform and its related services (collectively, the "Platform"). The Platform connects content creators with brands, allowing creators to publish campaign content and earn rewards measured through content submissions and attributed sales in Ethiopian Birr (ETB).

• By accessing, browsing, registering for or using the Platform — including the website, the creator portals, the Balemual Shop storefront and the Balemual Telegram store — you confirm that you have read, understood and agree to these Terms.
• If you enter into these Terms on behalf of a company or organisation, you represent that you have the authority to bind that organisation.
• If you do not agree with any part of these Terms, you must not register for or continue to use the Platform.
• Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

• You must be at least 18 years old to create an account or to participate in any campaign, sprint or reward programme.
• You must provide accurate, current and complete information during registration and keep your profile information up to date.
• Where required, you must obtain any necessary consents — for example the consent of a parent or guardian, or the consent of third parties who appear in your content.
• Accounts are personal. Unless we agree otherwise in writing, you may not create multiple accounts, transfer your account, or allow another person to operate it.
• You are responsible for keeping your login credentials confidential and for all activity that happens under your account.
• We may suspend or close accounts that appear to have been created with false details, in bad faith, or in violation of these Terms.

Balemual runs marketing Campaigns ("Sprints") in which creators publish content — such as TikTok, Instagram, YouTube or Facebook posts — that promotes featured products and brands.

• A "Campaign" or "Sprint" defines a participation window, content tasks, sales targets where applicable, reward amounts and bonus conditions.
• A "Task" is a specific content requirement within a Campaign (for example, publish one public TikTok video review).
• A "Submission" is your proof that a Task was completed, such as the public URL of your post together with any details, notes or screenshots required by the Campaign.
• "Rewards" are the ETB amounts you can earn for completing qualifying Tasks and, where applicable, for meeting sprint bonus conditions.
• "Orders" are customer purchases made through the Balemual Shop or Telegram store that are used to measure sales performance.

• Campaign details — including start and end dates, required content, sales targets and reward conditions — are published on the Platform and apply as shown. Balemual may update conditions between Campaigns, but not to your disadvantage after you have joined a Campaign unless required for legal or operational reasons.
• You must publish your content publicly on the required platform and keep it publicly accessible until the Campaign ends and any applicable reward has been settled, unless the campaign brief says otherwise.
• Your content must be original or properly licensed and must not infringe the intellectual property, privacy or other rights of any third party.
• Every Submission must be genuine and accurate: submit the full public URL of your actual post along with any required notes or screenshots. Never submit another person's content as your own.
• Content must be posted within the Campaign window. Posts created before a Campaign starts or after it ends may be rejected for that Campaign.
• Submissions are reviewed by Balemual's team. Incomplete, inaccurate or non-compliant submissions may be rejected or marked for manual review.
• You must follow each campaign brief, including required hashtags, product mentions, disclosure requirements and brand guidelines where provided.

For eligible Campaigns, Balemual can automatically verify TikTok submissions using the official TikTok developer APIs when you connect your TikTok account. Automatic verification is an assistance and audit tool; it does not replace your obligation to publish genuine content, and it does not replace final human review.

• Connecting a TikTok account is optional and free. If you do not connect an account, your submissions are handled through the ordinary manual review process.
• By connecting a TikTok account you authorise Balemual to access your public profile information and to look up your own videos through the official TikTok API for verification purposes only.
• Ownership is established from TikTok's official account identifier and video data. Balemual never relies on a username shown in a URL by itself to confirm ownership.
• Verification may check that you own the submitted video, when it was created or posted (compared against the Campaign window), and its public view and like counts where available.
• If verification cannot conclusively confirm a submission — for example, no account is connected, the video is private or unavailable to the API, a connection token has expired, or TikTok is unreachable — the submission is sent for manual review rather than being automatically failed.
• Every verification attempt is recorded for audit purposes. Balemual may ask you to re-verify a submission at any time before approval.

Balemual assigns participating creators a personalised promo code and, where applicable, a referral storefront or Telegram link so that purchases can be attributed to the correct creator.

• A sale is generally attributed to you when a customer uses your promo code or referral link and the resulting order is placed and confirmed under the Platform's order rules.
• Orders that are cancelled, reversed, returned, marked invalid, or placed outside the Campaign window do not count toward your sales targets.
• You may promote your code in your content and channels and to your own audience.
• You must not use your own code or referral link for your own purchases, and must not arrange for family, friends or others to place fake, inflated or collusive orders.
• Balemual may exclude non-genuine orders from attribution and rewards, and may investigate suspected abuse as described in these Terms.

• Reward eligibility is evaluated at the end of each Campaign based on its published conditions, including approved submissions and confirmed attributed sales.
• Where a Campaign uses all-or-nothing conditions, you must meet every required condition for that sprint to unlock its bonus; a single unmet condition may result in no bonus for that sprint.
• Rewards are calculated in ETB. A payment record is created only after an eligible, approved submission or sprint settlement, and is paid by Balemual's team to the bank or mobile-money account you registered (for example CBE, Awash, Dashen, Abyssinia or Telebirr).
• You are responsible for keeping your payout details accurate and current. Incorrect details can delay payment; Balemual will help you correct them but is not liable for resulting delays.
• Balemual may verify your identity before the first payout and may withhold payment until verification is complete.
• You are solely responsible for any taxes, fees or levies that apply to your earnings and for declaring them as required by law.
• Rewards are paid only once. Duplicate or erroneous payments may be recovered from future earnings or by separate invoice.

You keep ownership of the content you create. By submitting content for a Campaign you grant Balemual a worldwide, non-exclusive, royalty-free licence to reproduce, display, distribute and use that content, together with related analytics, to operate the Platform, measure campaign performance, and promote the campaigns you joined (for example in campaign reports or Balemual marketing channels), with reasonable credit to you where practicable.

All branding, logos, product imagery, campaign materials, data, software and other materials provided by Balemual or the brands it represents remain the property of their respective owners and may be used only as needed to complete an approved Task.

Content you produce for a Campaign must not disparage Balemual or the featured brand or its products, and must comply with all applicable advertising, disclosure and consumer laws.

You must use the Platform honestly and lawfully. Without limiting anything else in these Terms, you must not:

• Create fake accounts, fake engagement, bots, purchased views, likes or followers, or any artificial inflation of metrics.
• Submit content you do not own or do not have the right to use, or submit content on behalf of someone else without authorisation.
• Make purchases using your own promo code, arrange self-referral purchases, or collude with others to place fake orders.
• Copy, scrape, reverse-engineer or otherwise misuse the Platform, its data or its APIs beyond your permitted use.
• Post unlawful, harmful, defamatory, discriminatory, violent or sexually explicit material, or content that violates platform rules of TikTok, Instagram, YouTube or Facebook.
• Misrepresent your identity, engagement, campaign results or payment details.
• Tamper with referrals, attribution, analytics, or any verification process.
• Attempt to access another user's account, data or personal information.

• Balemual's team reviews submissions and makes good-faith decisions on eligibility, quality and reward entitlement. Where automatic TikTok verification is used and returns "manual review", the final decision is made by a person.
• Decisions may be based on campaign conditions, the quality and accuracy of submissions, and our records of attributed orders.
• If you believe a decision is wrong, contact us at the address in the "Contact" section within 14 days of the decision with your submission reference and an explanation. We will review it in good faith.
• Nothing in these Terms guarantees a particular reward outcome. Rewards depend on meeting all published conditions and on genuine, approved activity.

• We may suspend or restrict your account if we suspect a breach of these Terms, fraud, or activity that risks the Platform or other users.
• We may terminate your account for a material or repeated breach of these Terms, with notice where reasonably possible.
• On termination for breach, your right to use the Platform ends and any unpaid or pending rewards may be withheld or forfeited.
• If we detect fraud, false submissions or inflated orders, we may void the affected submissions, reverse attributed orders, and forfeit related rewards.
• You may close your account at any time by contacting us. Closing your account does not affect rights and obligations that accrued before closure, including payment of rewards already earned in accordance with these Terms.

• Reward amounts and examples shown anywhere on the Platform are illustrative and never a guarantee of income.
• The Platform and its features — including content submission, analytics, order attribution, TikTok automatic verification and payment processing — are provided "as is" and "as available".
• We may temporarily suspend access for maintenance, security, upgrades or legal reasons, and we may add, change or retire features from time to time.
• Third-party services such as TikTok, Instagram, YouTube, Telegram or banking services may become unavailable or change their rules, which can affect verification, attribution or payments. Balemual is not responsible for failures outside its reasonable control.

• To the maximum extent permitted by law, Balemual's total liability to you arising out of or in connection with these Terms or your use of the Platform will not exceed the amount of rewards actually paid or payable to you under the Platform in the three (3) months before the event giving rise to liability.
• To the maximum extent permitted by law, Balemual will not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data, goodwill or opportunities, even if advised of the possibility of such damages.
• Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or gross negligence.

To the maximum extent permitted by law, you agree to indemnify and hold harmless Balemual, its affiliates, officers, employees and agents from and against any claims, losses, damages, liabilities and reasonable expenses (including legal fees) arising out of:

• your content or submissions, including claims that they infringe the rights of a third party;
• your use of the Platform or any promo code, referral link or storefront;
• your breach of these Terms; or
• your violation of any applicable law or the rights of another person.

The Platform integrates with third-party services including TikTok (for creator connections and automatic video verification) and Telegram (for the Balemual store bot and notifications). Your use of those services is also governed by their own terms, privacy policies and community rules. Balemual does not control those services and is not responsible for their behaviour, availability, content or data practices.

Your TikTok account connection is used only for the verification purposes described in these Terms and our Privacy Policy, and you can disconnect it at any time from your profile.

By using the Platform you agree to receive communications from us electronically — for example through the Platform, email, push notifications or Telegram. You consent to receive in electronic form any notices, agreements, disclosures or other communications we are required to provide. You may withdraw consent to non-essential communications at any time, but we may still send essential account and legal messages.

We may update these Terms from time to time to reflect changes in our services, business or legal requirements. When we do, we will update the "Last updated" date above and notify you through the Platform or by email where reasonably practicable. If changes are material, we will give you reasonable advance notice. Your continued use of the Platform after the changes take effect means you accept the updated Terms.

These Terms are governed by the laws of the Federal Democratic Republic of Ethiopia. Any dispute arising out of or in connection with these Terms will be subject to the exclusive jurisdiction of the courts of Addis Ababa, Ethiopia, except where mandatory law provides otherwise. Nothing in these Terms limits any rights you have under applicable consumer-protection or other mandatory laws.

• If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will continue in full force.
• These Terms (together with the Privacy Policy) are the entire agreement between you and Balemual regarding your use of the Platform and supersede any prior agreements or understandings.
